01. Acceptance of Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and QuerySonar ("Company", "we", "us", or "our"), governing your access to and use of the QuerySonar website, applications, telemetry APIs, audit scanners, and generative engine optimization (GEO) tools (collectively, the "Service").

By registering for an account, accessing our website, executing brand audits, or purchasing subscription plans, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must immediately terminate your use of the Service.

02. Description of Service & AI Model Probing

QuerySonar provides automated analytical intelligence, Share of Voice (SOV) telemetry, citation tracing, and generative search optimization tools. Our platform probes publicly available and API-accessible artificial intelligence models—including, but not limited to, OpenAI ChatGPT, Google Gemini, Perplexity, Anthropic Claude, DeepSeek, and xAI Grok—to aggregate simulated buyer queries and citations.

You acknowledge that AI models generate answers probabilistically based on complex neural network weights, web retrieval-augmented generation (RAG), and proprietary vendor algorithms that fluctuate constantly.

04. Disclaimer of Warranties ("AS IS")

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, TELEMETRY DATA, AUDIT SCORES, AND GENERATED CODE ARTIFACTS ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. QUERYSONAR EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED AVAILABILITY.

05. Absolute Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL QUERYSONAR, ITS FOUNDERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF DATA, GOODWILL, REPUTATIONAL DAMAGE, WORK STOPPAGE, OR SYSTEM FAILURE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICE.

MAXIMUM AGGREGATE LIABILITY CAP: In any event, QuerySonar’s total cumulative aggregate liability arising out of or related to these Terms or the Service, regardless of the cause of action (whether in contract, tort, strict liability, or negligence), shall be strictly limited to the greater of: (a) the actual amount paid by you to QuerySonar for the Service in the twelve (12) months immediately preceding the event giving rise to liability, or (b) fifty United States Dollars ($50.00 USD).

06. Indemnification

You agree to defend, indemnify, and hold harmless QuerySonar, its officers, directors, contractors, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including reasonable attorneys' fees) resulting from or arising out of:

• Your use of and access to the Service, including any reports, audits, or strategies implemented by you.
• Your violation of any provision of these Terms or applicable local, state, national, or international laws.
• Any claim that your submitted brand names, competitor terms, or target queries infringe upon or violate any copyright, trademark, trade secret, or privacy right of a third party.

07. User Conduct & Acceptable Use

You represent and warrant that you will not use the Service for any unlawful, abusive, or harmful purpose. Prohibited activities include, without limitation:

• Attempting to probe, decompile, reverse engineer, or extract source code from QuerySonar.
• Launching automated scrapers, bots, or DDoS traffic intended to degrade server capacity or bypass rate limits.
• Using the platform to generate misleading, defamatory, deceptive, or malicious citations designed to harass competitors.
• Reselling, sublicensing, or distributing access to QuerySonar intelligence reports without an authorized Agency or Enterprise plan.

08. Mandatory Binding Individual Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, breach, termination, or invalidity thereof, shall be settled exclusively by final and binding individual arbitration administered in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA).

WAIVER OF JURY TRIAL & CLASS ACTION: YOU AND QUERYSONAR MUTUALLY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. YOU AGREE THAT ANY CLAIMS SHALL BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

09. Subscriptions, Billing & Cancellations

Certain features of the Service require a paid subscription. All subscriptions are billed in advance on a recurring monthly or annual basis. You may cancel your subscription at any time through your Account Settings. All fees are non-refundable except where required by applicable statutory consumer laws.

10. Changes to Terms & Contact

We reserve the right to modify or replace these Terms at any time. Material updates will be posted to this page with an updated Effective Date. Continued use of the Service following modifications constitutes acceptance of the revised Terms.
